Terms of Service

These Terms of Service ("Terms") govern your access to and use of PartyDesk's website, AI receptionist services, and related products (collectively, the "Service") provided by PartyDesk ("PartyDesk," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and authorized to enter into binding agreements on behalf of your business to use the Service. By using PartyDesk, you represent that you meet these requirements.

2. The Service

PartyDesk provides an AI-powered receptionist service designed for party rental businesses. Features may include answering inbound phone calls, taking booking information, sending SMS confirmations and reminders, requesting customer reviews, and providing a dashboard for managing calls and leads. We may add, modify, or remove features at our discretion.

3. Account and Subscription

To use the Service as a customer, you must provide accurate registration information and configure your business details. You are responsible for keeping your login credentials secure and for all activity under your account.

Pricing

The Service is offered at $249 per month on a month-to-month basis, with optional annual billing at $2,490 per year. A one-time setup fee of $499 may apply and is waived for customers committing to a 6-month minimum term. Prices are subject to change with at least 30 days' notice for existing customers.

Billing

Subscriptions are billed in advance on a recurring basis. By providing a payment method, you authorize us to charge that payment method automatically until you cancel. Failed payments may result in service suspension.

4. Cancellation and Refunds

You may cancel at any time. Cancellations take effect at the end of the current billing period. After the first 30 days, we do not provide pro-rated refunds for partial months. Annual plans are non-refundable after the 30-day window, but may be canceled to prevent renewal.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law, including TCPA, CAN-SPAM, or consumer protection laws
• Send unsolicited messages or harass third parties through the Service
• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Resell, sublicense, or transfer access to the Service without our written consent
• Use the Service to transmit malware, conduct phishing, or impersonate any person or entity
• Interfere with or disrupt the integrity or performance of the Service

6. Customer Content and Data

You retain all rights to the data and content you provide to PartyDesk ("Customer Data"). You grant us a limited license to use Customer Data solely to operate, maintain, and improve the Service. We may use de-identified or aggregated data to improve our models and Service performance.

You are responsible for ensuring you have all necessary rights and consents to share Customer Data with us, including consent from your end customers to record calls and store their information where required by law.

7. Call Recording and AI Disclosure

By using PartyDesk to handle inbound calls, you authorize us to record, transcribe, and process calls placed to your business numbers. You are responsible for complying with all applicable call recording and AI disclosure laws in the jurisdictions where you operate, including any requirement to inform callers that calls are recorded or handled by AI. PartyDesk can be configured to provide a recording disclosure on calls — it is your responsibility to enable this where required.

8. AI Limitations

The Service uses artificial intelligence to handle calls and generate responses. AI systems are not infallible — they may produce inaccurate information, miss context, or fail to handle edge cases. PartyDesk is intended to supplement, not replace, your judgment. We are not liable for outcomes resulting from AI-generated responses or actions taken based on AI output.

9. Service Availability

We work to keep the Service available 24/7, but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, third-party provider outages (telephony, cloud hosting, AI providers), or other factors outside our reasonable control. We are not liable for any losses arising from Service unavailability.

10. Intellectual Property

The Service, including all software, designs, logos, copy, and underlying technology, is owned by PartyDesk and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR ALWAYS AVAILABLE, OR THAT IT WILL PRODUCE ANY SPECIFIC RESULTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARTYDESK AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOST BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID PARTYDESK IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless PartyDesk and its officers, employees, and agents from any claim, demand, or damages, including reasonable attorneys' fees, arising out of: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law; (c) your violation of any third party's rights; or (d) Customer Data you submit to the Service.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. On termination, your right to use the Service ends immediately, but provisions of these Terms that by their nature should survive (including ownership, disclaimers, and limitation of liability) will continue.

15. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Virginia, and you consent to the exclusive jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time. The "Effective date" at the top reflects the most recent version. Material changes will be communicated by email or notice on our site. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
